School Supplied Official Rules
VOID WHERE PROHIBITED BY LAWPledgeCents, Inc. (“PledgeCents” or “Sponsor”) is pleased to promote the School Supplied Contest (“Contest”). The Contest participation period begins on August 3, at 12:00am Central Time (“CT”) and ends on September 30, 2015 at 11:59pm Central Time (the “Contest Period”). Central Time shall control for all purposes of the Contest. Sponsor’s computer shall be the official clock for purposes of the Contest.
As a condition of participating in the Contest, you agree to be fully and unconditionally bound by these Official Rules and the decisions of Sponsor, whose decisions shall be final and binding in all respects, and to waive any right to claim ambiguity in the Contest, these Official Rules, Contest materials, or information contained on Sponsor’s website, available at http://www.pledgecents.com. The Contest is subject to applicable federal, state, provincial and local laws and regulations and is VOID WHERE PROHIBITED OR RESTRICTED BY LAW. Winning and receiving a Prize as defined in Sections 4, 5, and 6 is contingent upon fulfilling all requirements set forth herein.
1. School Supplied Contest
PledgeCents is going to purchase a select amount of school supplies for three Qualifying Organization in the United States. Compete amongst other schools and not-for-profits to earn the most points and be among the top three to win school supplies.
2. The Prize
The “Prize” is the delivery of schools supplies to three Qualifying Organization in the continental United States according to the following criteria:
- $1,000 worth of predetermined schools supplies to the Qualifying Organization with the most points at the end of the Contest Period;
- $750 worth of predetermined schools supplies to the Qualifying Organization with the second most points at the end of the Contest Period; and,
- $500 worth of predetermined schools supplies to the Qualifying Organization with the third most points at the end of the Contest Period.
3. Eligibility
In addition to meeting PledgeCents’ standard eligibility requirements under the PledgeCents Terms of Use (http://www.pledgecents.com/about/terms), you must also be registered under a Qualifying Organization at the time of using the PledgeCents Services (an “Eligible Participant”).
A “Qualifying Organization” means an accredited private or public elementary or secondary school (grades K-12) or not-for-profit whose mission directly benefits K-12 students, located within the 48 continental United States.
4. Determining Which School Won
PledgeCents will determine the winning Qualifying Organization (the “Potential Winner”) based on the actions of Eligible Participants. Each Eligible Participant’s actions are credited to the Qualifying Organization with which they register.
The final PledgeCents Point total will consist of the cumulative points from all eligible PledgeCents causes under a Qualifying Organization. There is no limit to the number of PledgeCents causes each Qualifying Organization can create during the Contest Period. Whichever Qualifying Organization earns the most cumulative PledgeCents Points by 11:59pm CT, September 30, 2015 will be selected by PledgeCents to be the winner of the Contest.
PledgeCents will award points based on the following actions by an Eligible Participant:
- 20 points when an Eligible Participant creates a PledgeCents cause for a Qualifying Organization during the Contest Period.
- 10 point for every eligible Facebook share a PledgeCents cause that was started by an Eligible Participant receives during the Contest Period.
- 5 points for every dollar a PledgeCents cause that was started by an Eligible Participant receives during the Contest Period.
- 100 points when a cause started by an Eligible Participant during the Contest Period meets or exceeds its stated monetary goal during the Contest Period.
- 200 bonus points for every $500 received by a PledgeCents cause started by an Eligible Participant during the Contest Period during the Contest Period.
5. Winner Notification and Verification
On or about October 9, 2015 the Potential Winners will be selected and the designated point of contact at the Qualifying Organization on file will be contacted first with a verification email using the email address on file as well as a follow up phone call using the phone number on file. It is the responsibility of the Qualifying Organization to ensure that the information on file is up-to-date. The Potential Winners will be awarded the applicable Prize subject to verification of eligibility and compliance with the terms of these Official Rules.
Except where prohibited, Potential Winners may be required to sign and return to Sponsor, before October 21, 2015, a declaration of eligibility and liability/publicity release (“Declaration”) via email to the address specified in the Declaration in order to claim the Prize. If a Potential Winner fails to complete, sign and return the applicable Declaration within the required time period, or if the Declaration is returned as undeliverable or incomplete, the Potential Winner may be disqualified from receiving the Prize, in Sponsor’s sole and absolute discretion.
In the event a Potential Winner is disqualified for any reason, Sponsor may award the applicable Prize to an alternate Potential Winner by selecting the next Qualifying Organization with the most accumulated points and requiring verification of eligibility requirements within a specified time period. Sponsor retains the right to repeat this process until an alternate Potential Winner complies with the verification of eligibility requirements.
Eligible Participants must comply with all terms and conditions of these Official Rules and a Qualifying Organization winning is contingent upon fulfilling all requirements.
6. DECISIONS ARE FINAL
THE POTENTIAL WINNING QUALIFYING ORGANIZATION’S POINTS ARE SUBJECT TO VERIFICATION BY SPONSOR. SPONSOR’S DECISIONS AS TO THE ADMINISTRATION AND OPERATION OF THE CONTEST, ANY CHANGES TO THESE OFFICIAL RULES, AND THE SELECTION OF A POTENTIAL WINNING QUALIFYING ORGANIZATION IS FINAL AND BINDING ON YOU IN ALL MATTERS RELATED TO THE CONTEST.
7. General Prize & Admission Conditions
Only one Qualifying Organization can be selected to win each of the three Prizes. No transfer, substitution or cash equivalent for any Eligible Participant will be made, except that Sponsor, its sole and absolute discretion, may substitute the Prize of equal or greater value for any reason.
Sponsor will attempt to provide the Prize during the same academic semester that occurred during the Contest Period, but may provide the school supplies soon thereafter.
All expenses not specified in Section 4, 5, and 6 including any federal, state, provincial or local taxes are the sole responsibility of the Prize winner or Admitted Participant. Any required tax reporting forms will be furnished to the appropriate authorities.
Sponsor reserves the right to cancel the Contest for any reason. In the event that the Contest is cancelled or postponed for any reason whatsoever, the ARV of the Prizes will be awarded to the extent required by law. Sponsor also reserves the right to remove points from or to deny participation of an otherwise Eligible Participant to the Contest if that Eligible Participant engages in a non-sportsmanlike or disruptive conduct, or acts with the intent to annoy, abuse, threaten or harass any other person participating or involved with the Contest.
8. Participation Condition and Release
By participating, each participant agrees to: (a) comply with and be bound by these Official Rules and the decisions of Sponsor as they may be amended from time to time and (b) release, indemnify, defend, and hold harmless Sponsor, its respective parents, subsidiaries, affiliates, suppliers, retailers, distributors, advertising and promotion agencies, and each of their respective past and present officers, directors, employees, agents, shareholders, contractors and representatives (collectively, the “Released Parties”) from and against any and all claims, expenses, and liability resulting or arising from the Contest (including reasonable attorneys’ fees), including, but not limited to, negligence and damages of any kind to persons and property, invasion of privacy (under appropriation, intrusion, public disclosure of private facts, false light in the public eye or other legal theory), defamation, slander, libel, violation of right of publicity, infringement of trademark, copyright, or other intellectual property rights, property damage, or death or personal injury arising out of or relating to your entry, creation of an entry or submission of an entry, participation in the Contest, acceptance, use, or misuse of the Prize, or the broadcast, exploitation, or use of participation. Released Parties are also not responsible for any typographical or other error contained in the Official Rules or Contest-related materials.
9. School Supplied Contest
Except where prohibited by law, by participating in this Contest and/or accepting a Prize or invitation to the party, you agree to participate in any media or promotional activity resulting from the Contest as reasonably requested by PledgeCents and agree and consent to use of their name and/or likeness by PledgeCents for commercial purposes of the Sponsor, including, without limitation, advertising and promotional purposes for this and similar promotions, worldwide, and in perpetuity, in any and all forms of media, now known or hereafter devised without additional compensation, review or approval rights, notification or permission. PledgeCents will contact Eligible Participants and/or Admitted Participants in advance of any sponsored media request for interviews.
YOU FURTHER ACKNOWLEDGE THAT YOUR PERSONAL IDENTIFYING INFORMATION MAY BE DISCLOSED TO THIRD PARTIES INCLUDING, WITHOUT LIMITATION, PLACING YOUR NAME ON A WINNERS’ LIST.
10. General Conditions
The Contest is subject to all applicable federal, state, and local laws and regulations. Participating in this Contest and/or by accepting the Prize or attending the party is contingent upon accepting these Official Rules and fulfilling all requirements of these Official Rules. Sponsor reserves the right without liability to disqualify any points from an Eligible Participant or cancel, suspend, modify and/or terminate the Contest, or any part of it, for any reason, including, but not limited to, insufficient participation, any printing, seeding, typographical, technical errors, human or otherwise, suspected or actual evidence of electronic or non-electronic tampering with any portion of the Contest, or if computer virus, bugs, unauthorized intervention, fraud, or technical difficulties or failures compromise or corrupt or affect the administration, integrity, security, fairness, or proper conduct of the Contest or any other factor beyond Sponsor’s reasonable control, as determined by Sponsor in its sole and absolute discretion.
In such event, Sponsor reserves the right to award the Prizes to the extent required by law to a Qualifying Organization based on legitimate points earned up to the time of the impairment (and/or thereafter), or in such other manner as deemed fair and appropriate by Sponsor in its sole and absolute discretion. Sponsor reserves the right to disqualify any individual it finds to be tampering or interfering with the operation of the Contest, acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner and void such individual’s entry.
ANY ATTEMPT BY ANY PERSON TO DELIBERATELY UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK CIVIL AND/OR CRIMINAL PROSECUTION AND DAMAGES (INCLUDING ATTORNEYS’ FEES) FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.
The invalidity or unenforceability of any provision of these Official Rules will not affect the validity or enforceability of any other provision. In the event that any provision of the Official Rules is determined to be invalid or otherwise unenforceable or illegal, the other provisions will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. Sponsor's failure to enforce any term of these Official Rules will not constitute a waiver of that provision. Headings are solely for convenience of reference and will not be deemed to affect in any manner the meaning or intent of the documents or any provision hereof.
11. Limitations of Liability
To the maximum extent permitted by law, the Released Parties are not responsible for: (i) any incorrect or inaccurate information, whether caused by entrants, technical errors, or by any of the equipment or programming associated with or utilized in the Contest; (ii) technical failures of any kind, including, without limitation, malfunctions, interruptions, or disconnections of the equipment or software associated with or utilized in the Contest; (iii) unauthorized human and/or mechanical intervention in any part of the entry process or the Contest; (iv) technical or human error which may occur in the administration of the Contest or the processing of points; or (v) any injury or damage to persons or property including, without limitation, death, bodily injury, pain and suffering, emotional distress or loss of data which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Contest or receipt, use or misuse of any Prize. If for any reason an entrant’s participation is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, entrant’s sole remedy is to participate again during the Contest Period through a method set forth in these Official Rules. Under no circumstances will participant be permitted to obtain awards for, and entrant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. Some jurisdictions do not allow the limitations or exclusion of liability for punitive, incidental or consequential damages, in which case the liability of Sponsor and Released Parties will be limited to the maximum extent permitted by law.
12. Disputes
Participant agrees that any and all disputes, claims, and causes of action arising out of or connected with this Contest shall be governed, construed and enforced in accordance with the laws of the state of Texas regardless of the entrant’s country of origin or jurisdiction of residence and notwithstanding any conflicts of law principles. Subject to, and without in any way limiting, the requirements set forth in Sponsor’s Terms of Use, available at http://www.pledgecents.com/about/terms, any court proceeding related to this Contest or these Official Rules may be brought only in a federal or state court located in San Francisco County, California.
13. Extended Meanings; Currency; Force Majeure
Unless otherwise specified in these Official Rules, words importing the singular include the plural and vice versa and words importing gender include all genders. All dollar amounts referred to in these Official Rules are in lawful money of the United States of America. Sponsor is not responsible for any damages caused by delay or failure to perform undertakings pursuant to these Official Rules when the delay or failure is due to weather, event cancellations, excessive costs to provide the Prize, fires, strikes, floods, acts of God or the state’s enemies, lawful acts of public authorities, delays or defaults caused by common carriers, or other events that cannot reasonably be foreseen or provided against.
14. Official Rules And Winners’ List
A complete copy of these Official Rules can be obtained by sending a self-addressed, stamped envelope to the offices of PledgeCents, Inc., 34 S Wynden Street, Houston, TX 77056 or emailing a request to info@pledgecents.com during normal business hours from Monday through Friday. To learn of the Qualifying Organization that wins the Prize, any person may mail a self-addressed, stamped envelope to the offices of PledgeCents, Inc., 34 S Wynden Street, Houston, TX 77056, Attn: Winners’ List. The Winners’ List will be available after November 9, 2015 and requests must be received no later than four (4) months after that date.
